Terms of Service | WebNX Global Services

Welcome to WebNX Global Services. By using our website, products, or services, you agree to comply with these Terms of Service (“Terms”). These Terms apply to all clients, including businesses (B2B) and individual users, and cover our IT services, managed services, consulting, and outsourcing engagements.

1. Scope of Services

WebNX provides a wide range of services including:
  • IT Solutions: Web & mobile app development, enterprise software, AI-powered solutions.
  • Digital Marketing Services: SEO, social media optimization, PPC, content creation.
  • Managed Services & Consulting: Infrastructure management, offshore development, strategic consulting, AI advisory.
  • Outsourcing Engagements: Dedicated teams, offshore/nearshore support, project-based engagements.
Note: Each service may have specific terms based on project type, payment model, and duration.

 2. Account & Client Obligations

Clients must provide accurate information and maintain valid accounts for billing and communication purposes. Using our services constitutes acceptance of our policies, including:
  • Compliance with laws and regulations
  • Providing access to necessary systems, APIs, and content
  • Prompt communication for project requirements and approvals

3. Payment & Billing Policies

All invoices issued by WebNX must be paid promptly. Payment terms vary by service type:
  • Advance Services: Social media optimization, SEO, and other recurring services require advance monthly or quarterly payment. Payment must be made within the first week of the billing cycle. Non-payment may result in suspension of services.
  • Milestone-based Projects: Larger projects may have milestone payments; services will be delivered upon successful milestone completion.
  • Small-ticket Services: Certain small-scale projects can be billed after work completion based on mutual trust.
Pro-rated Billing: In case of termination, services will be billed pro-rata until the notice period or project completion, whichever is longer. Payment Methods: Payments can be made via wire transfer, online payment gateway, or any other method agreed with WebNX.

4. Intellectual Property Rights

  • WebNX retains full ownership of all deliverables until all dues are cleared.
  • Clients are granted a limited, non-transferable license to use deliverables only after full payment.
  • Unauthorized use, reproduction, or distribution of intellectual property is strictly prohibited.

5. Termination & Suspension

WebNX or the client may terminate services under the following conditions:
  • Standard Services: At least 15 days written notice required.
  • High-ticket / Large-team Projects: Minimum 1 month notice required.
  • Services will continue until the end of the notice period, and billing will be generated pro-rata.
  • Suspension may occur due to non-payment, violation of terms, or breach of applicable laws.

6. Limitation of Liability & Indemnity

WebNX shall not be liable for:
  • Indirect, incidental, or consequential damages
  • Loss of revenue or profit
  • Data loss or unauthorized access beyond our reasonable control
Clients agree to indemnify WebNX for any third-party claims arising from misuse of services, breach of these Terms, or violation of laws

7. Dispute Resolution

All disputes will be governed by the laws of India, specifically Ahmedabad, Gujarat jurisdiction. Disputes shall be resolved via:
  • Arbitration, if mutually agreed, or
  • Litigation in courts of Ahmedabad, Gujarat
This applies to both domestic and international clients.

8. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, data, and project materials shared during the engagement. Confidential information cannot be disclosed without written consent.

9. Force Majeure

WebNX is not liable for delays or failures caused by circumstances beyond our control, including natural disasters, power outages, network failures, or acts of government.

10. Third-Party Integrations & APIs

WebNX may use third-party services, tools, and APIs in delivering solutions. WebNX is not responsible for third-party service failures, outages, or changes in API behavior.

11. Modification of Terms

WebNX reserves the right to update these Terms at any time. Clients will be notified via email or website notice. Continued use of our services constitutes acceptance of the updated Terms.
